This General Disclaimer (“Disclaimer”) governs all aspects of your access to and use of BlockAura Classic and BlockAura Eternity, two decentralized, open-source utility tokens launched on the Polygon blockchain, and the broader BlockAura community-driven ecosystem. By accessing or interacting with any part of the BlockAura Protocol, BlockAura Classic, BlockAura Eternity, official websites, documentation, community forums, applications, or related services (collectively, the “Platform”), you acknowledge and agree to be bound by this Disclaimer. If you do not accept this Disclaimer, cease all access and use immediately.

Decentralized Governance and No Ownership

  1. No Legal Entity: BlockAura operates without any corporate structure, foundation, or centralized organization. There is no board of directors, shareholders, or fiduciaries. All proposals, upgrades, and decisions are executed through community-driven governance mechanisms encoded in smart contracts.
  2. Community Custodians: Volunteers and designated maintainers may facilitate development, documentation, and community coordination, but they hold no legal title, fiduciary duty, or authority to bind the community in contractual or financial matters.
  3. No Partnership or Agency: Nothing in this Disclaimer creates a partnership, joint venture, employment, agency, or franchise relationship between you and any contributor, node operator, or community member.

Definitions

  • “BlockAura Protocol”: The underlying blockchain network, consensus mechanism, distributed ledger, smart contracts, and infrastructure maintained collectively by the community.
  • “BlockAura Classic” and “BlockAura Eternity” (collectively, the “Tokens”): Utility tokens deployed on the Polygon network, used for governance votes, transaction fees, staking incentives, and access to community services.
  • “Platform”: All elements of the BlockAura ecosystem, including the Protocol, Tokens, official websites, wallets, APIs, applications, documentation, and community channels.
  • “User”: Any individual or entity interacting with or using the Platform.
  • “Contributor”: Any participant providing code, governance proposals, translations, security audits, infrastructure support, or other services to the Platform.

No Financial, Investment, or Legal Advice

  1. No Professional Advice: Content across the Platform—including whitepapers, technical documentation, community discussions, and analytics—does not constitute financial, legal, tax, or investment advice.
  2. Independent Verification: You are responsible for independently verifying all information. Consult qualified professionals before making decisions that affect your financial, legal, or tax positions.
  3. No Solicitation: The Platform does not solicit or recommend the purchase, sale, or trading of Tokens or any other asset.

Token Disclaimer

  1. Utility-Only: BlockAura Classic and BlockAura Eternity are non-refundable, non-equity utility tokens. They confer no ownership rights, equity interest, debt obligations, or entitlements to profit, dividends, or revenue from the Platform or its contributors.
  2. No Security: The Tokens are not intended to be securities, financial instruments, or investment contracts under any jurisdiction.
  3. No Value Guarantee: The Platform makes no guarantee of market liquidity, price stability, or value retention for the Tokens.
  4. Immutable Smart Contracts: Token logic is governed by immutable smart contracts on Polygon; modifications require on-chain governance consensus.
  5. Regulatory Uncertainty: Token classification may vary by jurisdiction. BlockAura makes no representation regarding compliance with securities, commodity, or other financial regulations in any region.

Representations and Warranties

  1. Provided “As-Is”: The Platform—including all code, websites, applications, and smart contracts—is provided “as-is” and “as available”.
  2. Disclaimer of Warranties: To the fullest extent permitted by law, there are no warranties, express or implied, concerning merchantability, fitness for a particular purpose, title, non-infringement, or uninterrupted operation.
  3. Accuracy of Information: Contributors strive for accuracy but do not warrant that documentation, guides, or community resources are correct or free of errors.

Limitation of Liability

  1. Exclusion of Damages: No contributor, node operator, custodian, or community member shall be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to financial loss, data loss, business interruption, or lost opportunity.
  2. Aggregate Liability Cap: Where liability cannot be excluded, total liability is limited to the lesser of (a) amounts you have directly paid to the Platform in the past 12 months, or (b) USD $50.
  3. No Fiduciary Relationship: No one involved in BlockAura owes a fiduciary duty to Users.

Risk Disclosures

Participation in blockchain and digital token ecosystems carries inherent risks:

  1. Market Volatility: Token prices may swing dramatically based on market conditions beyond BlockAura’s control.
  2. Smart Contract Risks: Bugs or vulnerabilities could result in unintended behavior or loss of tokens.
  3. Key Management: Loss, theft, or compromise of private keys or credentials may lead to irreversible token loss.
  4. Regulatory Actions: Government actions may restrict, ban, or alter the legal status of the Protocol or Tokens.
  5. Network Threats: Risks include forks, 51% attacks, Sybil attacks, network congestion, or consensus failures.
  6. Third-Party Dependencies: Wallet providers, exchanges, oracle services, or other integrations may suffer disruptions or insolvency.
  7. Force Majeure: Events beyond reasonable control (e.g., natural disasters, cyberattacks, civil unrest) may impede Platform operations.

User Responsibilities

  1. Legal Compliance: Ensure your use of the Platform complies with all applicable laws, regulations, and sanctions, including AML/KYC requirements where mandated.
  2. Security Practices: Secure your private keys, seed phrases, and login credentials. Consider hardware wallets or multi-signature solutions.
  3. Acceptable Use: Do not engage in illegal activities, money laundering, terrorism financing, hacking, or fraudulent schemes.
  4. Reporting Obligations: Promptly disclose any security vulnerabilities or suspicious activities through official channels.

Intellectual Property

  1. Open-Source License: Platform code is subject to open-source licenses (e.g., MIT, Apache 2.0). You agree to comply with those license terms.
  2. Trademarks: “BlockAura Classic”, “BlockAura Eternity”, and associated logos are community trademarks. Unauthorized use may result in legal action.
  3. User Content: You retain ownership of your submissions but grant a worldwide, royalty-free license for the community to use, modify, and distribute that content.

Confidentiality and Non-Disclosure

Participants in private testnets, beta releases, or internal discussions may receive Confidential Information. You agree to:

  1. Maintain confidentiality and not disclose information without prior consent.
  2. Use Confidential Information solely for Platform testing or development.
  3. Return or destroy all confidential materials upon request or termination of participation.

Indemnification

You agree to indemnify, defend, and hold harmless all contributors, custodians, node operators, and other Users from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of your breach of this Disclaimer or violation of any law or third-party rights.

Third-Party Links and Services

Links to third-party websites or services are provided for convenience; inclusion does not imply endorsement. You access such services at your own risk.

Data Protection and Privacy

  1. On-Chain Transparency: Blockchain data is public; you have no expectation of privacy for transactions.
  2. Off-Chain Data: Personal data submitted via Platform websites or forums is subject to separate privacy policies, if available.
  3. No Centralized Data Store: The community does not maintain a central repository of personal data.

Compliance with Applicable Laws

You are solely responsible for understanding and complying with laws governing digital assets in your jurisdiction, including securities, commodities, tax reporting, and consumer protection regulations.

Governing Law and Dispute Resolution

  1. Governing Law: This Disclaimer is governed by the laws of the Emirate of Dubai, UAE, excluding conflict-of-law rules.
  2. Binding Arbitration: Disputes shall be resolved via binding arbitration under the Dubai International Arbitration Centre (DIAC) rules, conducted in English.
  3. No Class Actions: You waive any right to participate in class or representative actions.

Amendments and Updates

  1. Community Governance: Material changes require a governance proposal and on-chain vote.
  2. Notice and Effective Date: Amendments are announced on official channels and take effect upon publication with a specified Effective Date.

Severability and Survival

If any provision is invalid, the remainder survives. Provisions intended to survive termination—such as indemnities, liability limitations, and dispute resolution—remain in effect.

Entire Agreement

This Disclaimer represents the full agreement between you and the BlockAura community regarding the Platform. All prior agreements are superseded.
